the settlement agreement below was drafted and revised with the course of party's negotiation by SunJian Lawyer, it has become effective and has already been fulfilled.

Party A：XUZHOU xxx WOOD CO. LTD.
xxx TOWN, xxx CITY, JIANGSU, CHINA
Party B：LANCUT (AUST) PTY LTD，
75 BEACON VISTA, PORT MELBOURNE. VIC.3207. AUSTRALIA
Referring to the case submitted to Xuzhou intermediate people's court by party B, case number (2009)Xuzhou Civil Three Initial 110, international sale of goods contract dispute, through negotiation by party A and party B with the spirit of cooperation,reached the settlement agreement to resolve the disputes .
1. Party A pay to party B $20,000 USD as compensation.
2、The methods of compensation:
Party A shall deliver one container goods of plywood to Party B, the total value calculates according to the confirmed market price, Party B shall pay to Party A 50% less $300-00 USD,
the remainder value is deducted as compensation for the case. Delivery time informed by party B shall prevail.
The above plywood cargo requirements: use specified films and glue made by Finnish company,Other description:
Formply,Exterior Usage, Shinny Black Film Dynea (Finnish imported Film) both faces, all veneers poplar , best quality exterior waterproof & boil proof bond adhesive, phenolic type Dynea 14L962 type A , edges sealed with waterproof dark grey in color paint.

PORT OF DESTINATION: MELBOURNE, AUSTRALIA
TERM OF PAYMENT: T/T upon receival of notification bill of lading and all other relevant shipping documentation.

3、 The methods of pay for remaining compensation amount:
party B buy plywood goods from party A, both parties signed the purchase contract in accordance with the market price, Party A compensate Party B for USD300 for each container (or each contract) of goods, party B only need to pay the remain amount after deducting .
4、court filing fee of the case shall be borne by party B.
5、After signing the agreement, both parties should go to the court asking for the conciliation statement, and jointly execute it.
